  • Represented a subsidiary of a multinational insurance provider accused of fraud, breach of fiduciary duty, and violation of the federal securities laws in connection with the liquidation of an annuity contract, resulting in arbitration and favorable settlement before the National Association of Securities Dealers.
  • Defended directors and officers accused of breaching their fiduciary duties by usurping corporate opportunities, committing corporate waste, and failing to hold elections and meetings as required by company bylaws, resulting in dismissal.
  • Represented a venture capitalist purchaser of convertible, exchangeable debentures, warrants and preferred stock of an insurance company with operating subsidiaries in seven states.
  • Represented a hotel management and hospitality company in a follow-on offering of 8,254,500 shares of common stock.
  • Represented an equipment financing and leasing corporation in a private offering of notes totaling $17,962,693.
  • Represented a public transportation agency with respect to several complex ground lease transactions at several of its major transit-oriented developments in Atlanta.
  • Represented a major residential housing developer in connection with its $45 million and $60 million residential developments in prominent Atlanta neighborhoods.
  • Represented an employee in an employment discrimination case involving allegations of race discrimination and retaliation, obtaining a significant settlement on behalf of the employee.
  • Defended an employer against allegations of sexual harassment and battery and obtained a speedy and favorable resolution prior to the filing of any lawsuits or charges.
  • Represented private citizens and statewide and national civil rights groups in public interest litigation to challenge Georgia's noncompliance with the National Voter Registration Act and other federal laws enacted to protect the right of private entities to conduct voter registration drives and to assist other eligible citizens with registering to vote in Georgia.
